1. Acceptance of terms
These Terms & Conditions ("Terms") are an agreement between you and Value Workers ("FoodValve", "we", "us"). By creating an account, accepting them in-app, or using any FoodValve application or website, you agree to these Terms and our Privacy Policy. If you use FoodValve on behalf of a company or a food business, you confirm you are authorised to bind that entity.
2. The service
FoodValve is a technology platform that connects workplace communities with food vendors operating at their sites. We facilitate ordering, payment collection, subsidy administration and pickup coordination. Food is prepared and sold by independent vendors — FoodValve is not the manufacturer or seller of food items and does not prepare food. Each vendor is responsible for its menu, food quality, hygiene and FSSAI compliance.
3. Accounts & eligibility
- You must be at least 18 years old to create an account.
- Employees access the platform through their employer's programme; some details (name, employee ID, workplace) may be provided by the employer's roster.
- Guests may self-register where the site's company has enabled guest access.
- Vendors and their staff access the platform after onboarding and verification by FoodValve.
- Keep your credentials confidential. You are responsible for activity on your account. Notify us immediately of unauthorised use.
- Information you provide must be accurate and kept up to date.
4. Orders, pricing & payment
- An order is a binding offer to purchase from the vendor. The contract of sale of food is between you and the vendor.
- Prices are set by vendors and shown in INR. Applicable GST is calculated and shown at checkout.
- Payments are processed by our payment partner (Razorpay) via UPI, cards, netbanking and wallets. FoodValve does not store your card or UPI credentials.
- Certain sites may permit cash/counter (spot) purchases handled directly by the vendor.
- Order availability, preparation times and pickup slots are indicative and may vary with kitchen load.
- You must present your pickup QR (or order code) to collect an order. Orders not collected within the site's pickup window may be disposed of without refund (see the Delivery & Pickup Policy).
5. Meal subsidies
- Meal subsidies are a benefit funded and governed by your employer, subject to per-meal, daily and monthly limits configured by the employer.
- Subsidy eligibility, amounts and caps may change or be withdrawn by the employer at any time; FoodValve applies the rules configured by the employer.
- Subsidies have no cash value, are non-transferable, and cannot be redeemed except against eligible orders on the platform.
- If an order that consumed subsidy is cancelled or refunded, subsidy amounts are re-credited per the Refund & Cancellation Policy.
6. Cancellations & refunds
Cancellation windows, refund methods and timelines are set out in our Refund & Cancellation Policy, which forms part of these Terms.
7. Vendor terms
- Vendors must complete onboarding, including submission of valid FSSAI license, GST registration, PAN and bank details, and keep these current. FoodValve may suspend a vendor whose compliance documents lapse.
- Vendors are solely responsible for food safety, quality, labelling, pricing accuracy and fulfilment of orders they accept.
- Platform commissions, payment-processing recoveries and settlement cycles are set out in the vendor's onboarding agreement and payout statements. Settlements are made to the vendor's registered bank account.
- Vendor staff accounts are created by the vendor owner, who is responsible for staff actions and for assigning appropriate role permissions.
- FoodValve may deactivate listings that receive substantiated food-safety complaints pending investigation.
8. Acceptable use
You agree not to:
- misuse, reverse-engineer, scrape or disrupt the platform or access it by automated means;
- create accounts with false information or impersonate others;
- abuse subsidy programmes, promotional offers or refund processes;
- post ratings/reviews that are fraudulent, defamatory or unrelated to a genuine order;
- use the platform for any unlawful purpose.
9. Intellectual property
The FoodValve name, logo, apps, design and software are the property of Value Workers or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the apps for their intended purpose. Vendor menus and images remain the vendor's property; by uploading them the vendor grants FoodValve a licence to display them on the platform.
10. Liability
- To the maximum extent permitted by law, FoodValve's aggregate liability for any claim relating to an order is limited to the value of that order.
- FoodValve is not liable for food quality, allergens or food-safety matters, which are the responsibility of the vendor — though we will assist in escalating such complaints.
- We do not guarantee uninterrupted availability of the platform and are not liable for delays caused by events beyond our reasonable control.
- Nothing in these Terms limits liability that cannot be limited under applicable law, including under the Consumer Protection Act, 2019.
11. Suspension & termination
We may suspend or terminate accounts that breach these Terms, engage in fraud or abuse, or where required by law or by the site's company. You may stop using the service at any time and may delete your account as described on the Account Deletion page. Provisions relating to payments, liability and law survive termination.
12. Governing law & disputes
These Terms are governed by the laws of India. Subject to applicable consumer-protection rights, the courts at [City, State] shall have exclusive jurisdiction. Consumers may also use the grievance process described on our Grievance Redressal page.
